Terms and conditions
The rules for using the marketplace: account, listing publication, purchase offers, electronic signature and limitations of liability.

1. Service provider
The marketplace is operated by FVT FuturaVision Technology GmbH, Baarerstrasse 75, 6300 Zug (ZG), UID CHE-275.715.986 (hereinafter “FVT”). Operating office: Via ai Prati, 6930 Bedano (TI).
Use of the platform implies full acceptance of these terms.
2. Account and requirements
Access to restricted areas requires registration with truthful and up-to-date information.
The user is responsible for the confidentiality of their credentials and for all activities carried out through their account.
3. Listings and verification
The seller warrants the accuracy of the financial data published and holds the necessary authority to transfer the company.
FVT performs formal checks on listings but gives no warranty as to value, profitability or the outcome of any negotiation.
4. Offers, electronic signature and data room
Purchase offers submitted through the wizard are contractual statements between the parties; FVT acts solely as a technology intermediary.
Electronic signature is provided in compliance with the Swiss Federal Act on Electronic Signatures (ZertES). Data rooms are accessible only to users authorised after signing the NDA.
5. Liability and governing law
To the extent permitted by law, FVT is not liable for indirect damages arising from use of the platform or from negotiations concluded between users.
Swiss law applies. Place of jurisdiction: Zug, Switzerland.
6. Confedera’s role: publication, not brokerage
Confedera is a publishing platform: it provides space, visibility and technical tools with which advertisers create and manage their own listings. FVT’s contractual relationship is with the advertiser and covers publication, not brokerage.
Confedera does not act as agent, broker, intermediary or representative of any party, does not take part in the negotiation, the contract or the payments, and does not guarantee the value, profitability or outcome of a transaction.
Buying a plan or advertising space only entitles the advertiser to the publication and visibility services described, with no counterparty sourcing or negotiation support. The model is described in detail on the Transparency page.
7. Scope of the service
Confedera provides digital publishing, display, promotion and visibility services for listings, according to the plan or space purchased by the advertiser.
The service includes the platform's technical tools (listing creation and management, contact forms, NDA, data room, e-signature, calculators). These tools are for the parties' use and do not make FVT a participant in their agreements.
8. Registration and account
Creating an account requires accurate, complete and up-to-date information. Users are responsible for keeping credentials confidential and for account activity, and must report unauthorised use without delay.
An account may be held by a legal entity; whoever uses it declares to have authority to act on its behalf.
9. Purchasing the publishing space
Plans, prices, duration and included features are those shown on the Pricing page and in the order summary displayed before purchase, which forms part of the contract.
Renewal: auto-renewing plans are flagged as such in the order summary; cancellation is available in the account area before the end of the current period. Specific cancellation terms: [DA COMPLETARE].
Invoicing and taxes: invoices are issued in CHF and available in the account area. Applicable VAT treatment: [DA COMPLETARE].
Refunds: applicable refund policy: [DA COMPLETARE]. Mandatory statutory rights remain unaffected.
Payments are processed by an external payment provider (Stripe); FVT does not store full card data.
10. Advertiser responsibility for content
The advertiser declares to hold the rights to publish uploaded text, images, logos, trademarks, documents and information and to respect third-party rights.
The advertiser keeps information reasonably accurate and up to date and removes or updates the listing when it is no longer valid.
The advertiser complies with the rules applicable to its activity, including unfair competition law (UCA), the Price Indication Ordinance, data protection (FADP) and any required authorisations.
11. Prohibited content
False or misleading content, impersonation, unlawful activities, content infringing third-party rights and third-party personal data published without title are not allowed.

12. No guarantee of results
Purchasing space or visibility does not guarantee minimum views, contacts, customers, sales, revenue or concluded contracts, unless a specific guarantee is expressly included in the purchased plan.
FVT does not guarantee that a listing will generate a negotiation, nor that a negotiation will close.
13. Moderation
FVT may refuse, suspend, limit the visibility of or remove content breaching these terms, the Listing Rules or applicable law, on reasonable and proportionate grounds.
Where possible and reasonable the advertiser is informed and may respond by writing to info@confedera.ch.
14. Liability
To the extent permitted by applicable law, FVT is liable for intent and gross negligence; for slight negligence liability is limited to direct and foreseeable damage, up to the fees paid by the advertiser in the preceding twelve months.
Liability that cannot be excluded by law remains unaffected, in particular for injury to life, body or health.
Listing content comes from advertisers: FVT is liable for it within the limits of applicable law, in particular where it fails to act promptly after becoming aware of manifestly unlawful content.
15. Intellectual property
The platform, software, the “Confedera” brand, design and editorial content are protected and remain owned by FVT or the respective right holders.
The advertiser keeps the rights to its content and grants FVT a non-exclusive licence, limited to the publication period, to host, technically adapt and display that content on the platform and Confedera's channels.
16. Duration and termination
The contract runs for the duration of the purchased plan. Users may delete their account at any time; deletion does not automatically refund the remaining period unless otherwise agreed or required by law.
FVT may suspend or terminate the relationship for serious or repeated breaches, with reasonable notice where circumstances allow.
17. Changes to the service and to the terms
FVT may evolve platform features. Material changes to purchased services are communicated with reasonable notice.
These terms may be updated: the applicable version is the one published at the time of purchase or use. Material changes are communicated to registered users; the version history is shown at the bottom of this page.
18. Governing law and jurisdiction
